Confidentiality Agreement

1. Purpose
This Confidentiality Agreement ("Agreement") establishes the terms under which Protection-IP UAE will handle confidential and proprietary information shared by clients, partners, and third parties in connection with intellectual property enforcement, market monitoring, and legal proceedings.
2. Definition of Confidential Information
Confidential Information includes, but is not limited to: trade secrets, client identities, product designs, manufacturing processes, market strategies, investigation findings, enforcement action details, legal documents, financial information, and any other non-public information disclosed in connection with our services.
3. Protection of Confidential Information
Protection-IP UAE commits to:
- Maintain strict confidentiality of all client information
- Limit access to authorized personnel on a need-to-know basis
- Implement secure data storage and transmission protocols
- Protect information with industry-standard encryption and security measures
- Not disclose information to third parties without explicit authorization
- Use information solely for the stated purpose of the engagement
4. Permitted Disclosures
Protection-IP UAE may disclose Confidential Information when:
- Required by law, court order, or government authority
- Necessary to enforce intellectual property rights in legal proceedings
- Authorized in writing by the client
- Disclosed to law enforcement or customs officials for enforcement purposes
- Shared with legal counsel, auditors, or contracted service providers under confidentiality obligations
5. Data Retention and Destruction
Protection-IP UAE will retain Confidential Information for the duration necessary to complete the requested services and fulfill any legal obligations. Upon project completion or client request, we will securely destroy or return Confidential Information, except where retention is required by law.
6. Client Responsibilities
Clients agree to:
- Only disclose information they have authority to share
- Ensure information provided is accurate and does not infringe third-party rights
- Notify Protection-IP UAE of any unauthorized access or breaches
- Maintain their own security measures for sensitive data
7. Duration of Confidentiality
Confidentiality obligations continue indefinitely for trade secrets and proprietary information, and for a period of five (5) years following the termination of our engagement for other Confidential Information, unless superseded by legal requirements.
8. Exceptions to Confidentiality
Information is not considered confidential if it:
- Is publicly available through no breach of this agreement
- Was previously known to Protection-IP UAE
- Is rightfully received from a third party without confidentiality restrictions
- Is independently developed by Protection-IP UAE
9. No Warranty
While Protection-IP UAE implements reasonable security measures, we cannot guarantee absolute protection against unauthorized access. The client assumes all risk for information disclosed to us, except where we are grossly negligent or act in bad faith.
10. Remedies
The client acknowledges that breach of this Confidentiality Agreement may cause irreparable harm for which monetary damages are an inadequate remedy. In addition to other remedies available under law, the client shall be entitled to seek injunctive relief for any breach or threatened breach of this agreement.
